Hillmont Partners acted as a legal counsel to a private investor in connection with his acquisition of convertible notes of a Delaware corporation acting in the domain of B2C logistics services in the EU countries.<\/p>\n

Hillmont Partners advised the client on terms and conditions of the convertible notes\u2019 subscription. In particular, the firm\u2019s advice covered terms of conversion, triggering events and security issues, controlling tools available for the holders of the convertible notes as well as terms of the shareholders agreement and corporate governance issues once convertible notes are converted into the shares of the issuer.<\/p>\n
